THIS AGREEMENT CONTAINS A BINDING INDIVIDUAL ARBITRATION AGREEMENT AND A WAIVER OF JURY TRIAL AND CLASS ACTION. BY REGISTERING OR USING NAVEGA, YOU ACCEPT THESE TERMS.

Binding Agreement and Acceptance of Terms

You agree that by clicking "register," "create account," accessing or using our Services (described below), you are agreeing to enter into a legally binding contract with Navega Charter Solutions, S.L. (hereinafter referred to as "Navega," "we," or "our").

If you do not agree that these Terms of Service ("Terms") constitute a contract with you, or if you do not wish to accept these Terms, DO NOT click "register" and do not access or use the Services in any way.

You agree to comply with and be legally bound by these Terms, whether or not you become a registered user of the Services. These Terms govern your access to and use of the Services and all Collective Content (defined below).

WARNING: Failure to use the Services in accordance with these Terms may expose you to civil and/or criminal penalties. Your use of our Services is also subject to our Privacy Policy.

YOU UNDERSTAND AND AGREE THAT NAVEGA IS NOT A PARTY TO ANY AGREEMENT ENTERED INTO BETWEEN OWNERS AND TENANTS, NOR IS NAVEGA A BROKER OF VESSELS, AGENT, OR INSURER. Navega has no control over the conduct of Owners, Tenants, and other users of the Site, Application, and Services or any Vessel, and disclaims all liability in this regard.

Legal Definitions

The following terms will have the meanings set forth below:

"Bareboat Charter"
A charter of a Vessel backed by a written agreement whereby the Owner transfers "the incidents of ownership," including but not limited to full possession, control, and use of the Vessel to the Charterer, with the Charterer being responsible for all aspects of the Vessel during the Charter, including crew, provisioning, and more.
"Time Charter"
A charter of a Vessel backed by a written agreement whereby the Owner makes the Vessel available to the Charterer but the Owner remains responsible for all aspects of the operation of the Vessel, including but not limited to crew and provisioning.
"Vessel(s)"
Means watercraft, including but not limited to: yachts, sailboats, motorboats, catamarans, jet skis, kayaks, paddleboards, and any other vessel or watercraft.
"Navega Content"
All Content that Navega makes available through the Services, including any Content licensed from a third party, but excluding Member Content.
"Collective Content"
Means Member Content and Navega Content combined.
"Charterer"
A Member who requests a booking for a Vessel through the Services, or a Member who uses a Vessel and is not the Owner of that Vessel.
"Owner"
A person who creates and manages a Listing through the Services, is responsible for approving rentals, recording the check-in or check-out of a Charterer, or responding to messages. The Owner does not have to be the owner of the Vessel but must be designated and approved by the owner.
"Listing"
A Vessel that is published by an Owner as available for rental through the Services.
"Member"
A person who completes the Navega account registration process, including, but not limited to, Owners and Charterers.
"Service Fees"
The fees charged by Navega to Owners and Charterers for facilitating transactions through the Services, as set forth in our Fee Policy.
"Security Deposit"
The refundable amount held as a guarantee against damages, losses, or defaults during the rental period.
"Total Fees"
The Vessel Fees, Booking Fees, and applicable Taxes combined.

The Navega Platform

Navega provides an online platform that connects Owners who have Vessels for rent with Tenants looking to rent such Vessels. This platform is accessible at https://www.navegaapp.com and any other website or application through which Navega makes the platform available.

Navega as Intermediary

Navega acts solely as a meeting place for Users (Owners and Tenants) to view and post available vessels to facilitate rentals. Navega is NOT part of any actual agreement or transaction between Tenants and Owners, although we may provide tools related to a booking, such as payment services.

NAVEGA'S RESPONSIBILITIES ARE LIMITED TO:

  • Facilitating the availability of the Services
  • Acting as a limited payment agent for each Owner for the sole purpose of accepting payments from Tenants on behalf of the Owner

Navega has no control over the accuracy or correctness of the content or information provided or used by Tenants and Owners. The condition, quality, safety, or legality of the vessels, the truthfulness of the listings, the ability of the Owners to rent, or the ability of the Tenants to pay are the sole responsibility of each User.

User Accounts

To access certain features of the Services, and to book a Vessel or create a Listing, you must register to create an account ("Navega Account") and become a Member.

Registration Requirements

  • Have the legal authority to create a binding legal obligation
  • Be at least 18 years of age
  • Provide true, accurate, current, and complete information
  • Maintain and update such information

You may not have more than one (1) active Navega Account. Navega reserves the right to suspend or terminate your Account and your access to the Services if you create more than one account or if any information provided is found to be inaccurate, outdated, or incomplete.

Account Security

You are responsible for safeguarding your password. You agree not to disclose your password to any third party and will assume sole responsibility for any activity or action under your Account, whether or not you authorized such activities. You must immediately notify Navega of any unauthorized use of your Account.

Unless Navega expressly permits you in writing, you may not sell, rent, or lease your Account to anyone.

Identity Verification

Verifying users on the Internet is difficult, and Navega cannot, and does not assume, any responsibility for the confirmation of the alleged identity of each Tenant or Owner.

YOU AUTHORIZE NAVEGA, directly or through third parties, to conduct any inquiries we deem necessary to help verify or confirm your identity or prevent fraud. This may include:

  • Requesting that you provide a form of government identification (e.g., driver's license or passport)
  • Your date of birth and other information
  • Requiring you to take steps to confirm ownership of your email address, payment methods, or payment methods
  • Attempting to match your information with third-party databases

Navega reserves the right to close, suspend, or limit access to the Payment Services in the event that we are unable to obtain or verify any of this information.

Requirements for Owners

As a Member, you can create Listings. You acknowledge and agree that the Listings will be made publicly available through the Services.

Representations and Warranties

You acknowledge and agree that you are responsible for any and all Listings you publish. Therefore, you represent and warrant that:

  • You are the owner of the Vessel or are authorized to act on behalf of the owner
  • The Listing and the reservation will not violate any agreement with third parties
  • You will comply with all applicable laws, tax requirements, coast guard regulations, zoning laws, marina regulations, and laws governing the rental and operation of Vessels
  • The Vessel complies with all applicable safety requirements
  • You maintain adequate insurance for the Vessel

Exclusivity with Navega

As an Owner, you agree to use the Service to communicate and facilitate a rental with a Renter. You agree not to take any action directly or indirectly to circumvent the Service Fee Policy.

If you do, you agree that Navega may charge you a fee of up to $2,000 USD per reservation, in addition to the Service Fees owed to Navega. Navega may charge this fee from future reservations or otherwise.

Owner's Commission

Navega charges a commission on completed reservations. The agreed amount of payment to the Owner will be remitted by Navega to the Owners via direct deposit or other payment methods described in the Services.

Requirements for Renters

Minimum Age

The minimum age to rent varies depending on the type of rental:

  • Bareboat operated by the Renter: Minimum 25 years, with approved verification
  • Bareboat with captain hired by the Renter: Minimum 18 years
  • Time Charter (operated by the Owner): Minimum 18 years

Conditions of Use

As a condition of your use of the Services, you expressly represent and warrant that:

  • If you will operate a vessel, you are responsible for ensuring that you have sufficient skill in operating the vessel and are legally authorized to operate a vessel in the jurisdiction where you are renting
  • You will not allow any other occupant of the vessel to operate it unless each has sufficient skill and is legally authorized
  • You have the legal authority to create a binding legal obligation
  • You will comply with all applicable laws, regulations, rules, and restrictions

sobriety Policy

ZERO TOLERANCE: The consumption of alcohol or other substances that impair the ability to operate a vessel safely is strictly prohibited for anyone operating the vessel. Violation of this policy will result in immediate termination of the rental without refund and possible legal action.

Liability for Damages

Renters are responsible for returning the rented vessel in the same condition it was in before renting it. You acknowledge and agree that you are responsible for all acts and omissions of you and your guests on the vessel that affect its condition.

Reservations and Payments

If you are an Owner and a reservation for your Vessel is requested through the Services, you may be required to confirm or reject the reservation within 24 hours from the time the reservation is requested, or the reservation request may be automatically canceled.

Total Fees

The fees shown in each Listing consist of:

  • Vessel Fees: Determined by the Owner
  • Reservation Fees: Charged by Navega to the Renter
  • Taxes: Where applicable

Navega will charge the Total Fees at the time of reservation confirmation and will initiate the payment of the Vessel Fees (less Navega's Service Fees) to the Owner two business days after the Renter arrives at the corresponding Vessel.

Payment Methods

The payment processing services on Navega are provided by Stripe and are subject to Stripe's Connected Account Agreement and Stripe's Terms of Service. By providing your credit card information, you agree that we are authorized to charge your card for the total cost of the rental, taxes, and any required deposit.

Service Fees

In consideration for providing the Services, Navega charges service fees to Owners and Renters.

Fee Components

  • Reservation Fee: A percentage of the Vessel Fees charged to the Renter
  • Owner's Commission: A percentage of the Vessel Fees deducted before remitting payment to the Owner
  • Processing Fee: 3% non-refundable to cover payment processing costs

The Owner's Commissions are deducted from the Vessel Fees before remitting the Vessel Fees to the Owner. The Reservation Fees are included in the Total Fees.

IMPORTANT: Except as otherwise provided in this document, the Service Fees ARE NOT refundable. Navega reserves the right to adjust its Service Fees at any time with prior notice through the Services.

Security Deposits

Navega includes a security deposit in each Listing. For all Security Deposits included in a Listing for a confirmed reservation of a Vessel, Navega, in its capacity as payment agent for the Owner, will use commercially reasonable efforts to obtain a pre-authorization of the Tenant's credit card for the amount that the Owner determines for the Security Deposit.

Claim Process

  • The Owner must report damages within 72 hours after the rental ends
  • Must provide photographic evidence or other documentation of the damages
  • The Tenant will have 48 hours to respond to the claim
  • If the Owner does not respond to questions related to the capture of the Security Deposit within 7 days of the rental date, the damages will be considered resolved and the Tenant's Security Deposit will be refunded

IMPORTANT FOR TENANTS: Always responsible for having a card on file with sufficient funds available to cover the Security Deposit and any applicable deductible. Navega reserves the right to cancel the reservation if the Security Deposit was not captured within 24 hours of the rental.

Cancellation Policies

If, as a Tenant, you cancel your reservation before it is confirmed by an Owner, Navega will cancel any pre-authorization on your credit card and/or refund any nominal amount charged within a commercially reasonable time.

Flexible Policy

  • More than 24 hours before: 97% refund of accommodation
  • Less than 24 hours: 48.5% refund of accommodation
  • During the trip: No refund

Note: The 3% processing fee is non-refundable.

Moderate Policy

  • More than 5 days before: 97% refund of accommodation
  • Between 1-5 days before: 48.5% refund of accommodation
  • Less than 24 hours or during the trip: No refund

Note: The 3% processing fee is non-refundable.

Strict Policy

  • More than 7 days before: 48.5% refund of accommodation
  • Less than 7 days: No refund
  • During the trip: No refund

Note: The 3% processing fee is non-refundable.

Cancellations due to Weather/Safety

If the captain or owner cancels the trip before departure due to unsafe weather conditions or safety emergencies, the Tenant is entitled to: (1) a full 100% refund, or (2) rescheduling at no additional cost if agreed upon with the owner.

Cancellation by the Owner

If an Owner cancels a confirmed reservation, the Tenant will receive a 100% refund of the Total Fees. The Owner may be subject to penalties as reflected in the Cancellation Policy, including possible suspension of their account for repeated cancellations.

No-Show

IMPORTANT: If the Tenant does not show up at the agreed time without prior notification, it is considered a "no-show" and NO REFUND WILL BE GRANTED. The Owner may claim the total amount of the reservation.

Captains and Crew

Bareboat Charters

When a Charterer chooses to hire a captain to meet the minimum crew requirements for a Vessel during a Bareboat Charter, the following applies:

  • The Charterer is free to select any captain who meets the minimum crew qualifications set by the Owner for the charter
  • The hiring of a captain by a Charterer is subject to the terms and conditions of the Vessel Captain Service Agreement between the Charterer and the chosen captain

Captains are NOT Employees of Navega

NAVEGA CANNOT AND DOES NOT CONTROL the content of any captain listing or offer nor the condition, legality, suitability, insurability, or qualifications of any captain. Navega never endorses or approves any captain.

The Charterer agrees that they will be the sole employer of any captain selected and/or hired by the Charterer, and that such captain will be notified by the Charterer and will accept that they are not an employee or servant of the Owner or NAVEGA.

Captain's Authority

The Captain has absolute authority over all decisions related to safety during the voyage. This includes, but is not limited to:

  • Canceling or modifying the route due to weather conditions
  • Returning to port if conditions are unsafe
  • Denying boarding to passengers deemed to be intoxicated
  • Taking any necessary action to protect life and property

The Captain's decisions regarding safety are final and binding, and do not constitute grounds for reimbursement.

Insurance

It is the Tenant's responsibility to review the insurance for their rental. Please review any insurance policy carefully, and in particular ensure that you are familiar with and understand any exclusions and any deductible that may apply.

IMPORTANT: Navigate is not part of any insurance contract provided through any link to a third-party insurance provider that advertises in the Services, and does not act on behalf of any insurer, broker, or agent, any insured, or any claimant.

Minimum Insurance Requirements for Owners

  • Liability insurance with minimum coverage appropriate for the jurisdiction of operation
  • Hull insurance if the vessel is used for commercial rentals
  • Protection and Indemnity (P&I) coverage where applicable

Tenant's Responsibility

The Tenant is responsible for:

  • Obtaining/confirming appropriate insurance coverage for any paid operator/Captain hired by the Tenant
  • Understanding the limits, exclusions, and deductibles of any policy
  • Assuming responsibility for any damage or loss not covered by insurance

Damage to Vessels

As a Tenant, you are responsible for leaving the Vessel in the condition it was in at the time of delivery, except for normal wear and tear. You acknowledge and agree that you are responsible for your own acts and omissions and are also responsible for the acts and omissions of any individual you invite or provide access to the Vessel.

Damage Claim Process

  1. The Owner must document the damages with photographs and/or other evidence within 72 hours following the end of the rental
  2. The Owner submits the claim through the Navega platform
  3. The Tenant is notified and has 48 hours to respond
  4. Navega facilitates the resolution, but the final decision may require arbitration

CHARGE AUTHORIZATION: After being notified of the claim and given forty-eight (48) hours to respond, you agree that the payment will be charged and taken from the credit card on file in your Navega Account. Navega also reserves the right to charge the credit card on file, or otherwise collect payment from you, including the use of Security Deposits.

Both the Tenant and the Owner of the Vessel agree to cooperate and assist Navega in good faith in connection with any complaint or claim made by Members related to Vessels or any personal property or other located on a Vessel.

Chargeback Policy

⚠️ CRITICAL WARNING ABOUT CHARGEBACKS

Before initiating any dispute with your bank or credit card company, YOU MUST first contact Navega to attempt to resolve the issue directly.

Mandatory Resolution Process

  1. Contact Navega first: Send a detailed written explanation of the disputed amount to support@navegaapp.com within 14 days of the charge
  2. Resolution period: Navega will have 15 business days to investigate and respond
  3. Provide documentation: At Navega's request, provide any additional written explanation, details, and/or supporting documentation
  4. Only after exhausting this process may you proceed with a dispute with your financial institution

Consequences of Unauthorized Chargebacks

Failure to follow the above resolution process before initiating a chargeback constitutes a material breach of these Terms and may result in:

  • Immediate suspension of your Navega account
  • $150 USD administrative fee to cover processing costs
  • Referral to collection agencies for unrecovered amounts
  • Reporting to fraud databases as permitted by law
  • Legal action to recover the original amount plus costs and fees

Owner's Responsibility

The Owner understands and acknowledges that Navega simply acts as a conduit for bookings and payments between Tenants and Owners, and the Owner assumes all risk of rental payment.

IF A TENANT OBTAINS A CREDIT CARD CHARGEBACK AGAINST NAVEGA, for any reason, and Navega has already paid all or part of such amount to the Owner, then the Owner must immediately return (within five (5) days of receiving written demand for such purpose) to Navega all such amounts.

YOU MUST NOT DISPUTE VALID CHARGES ASSESSED IN ACCORDANCE WITH THESE TERMS OF USE.

Intellectual Property

The Services are owned and operated by Navega. Unless otherwise stated, all content, information, and other materials in the Services (excluding Member Content), including, without limitation, the trademarks and logos of Navega, visual interfaces, graphics, design, compilation, information, software, computer code, services, text, images, information, sound files, other files, and the selection and arrangement of the same (collectively, the "Materials") are protected by intellectual property rights and applicable property laws.

Limited License

By accepting these Terms, you are granted a limited, non-sublicensable license (i.e., a personal and limited right) to access and use the Services solely for your personal use or commercial use as identified in these Terms. Navega may terminate this license at any time, without prior notice.

License You Grant to Navega

If you submit, transmit, display, publish, or store Member Content using the Services, you grant Navega and its sublicensees a unrestricted, worldwide, perpetual, irrevocable, fully sublicensable, non-exclusive, and royalty-free right to:

  • Use, reproduce, modify, adapt, publish, translate, create derivative works, distribute, perform, and display such Member Content
  • Use the name, identity, image, and voice (or other biographical information) you submit in connection with such Member Content

User Conduct

You understand and agree that you are solely responsible for compliance with all laws, rules, regulations, and tax obligations that may apply to your use of the Services and Content.

Prohibited Conduct

In connection with your use of our Services, you may not and agree that you will not:

  • Violate any local, state, provincial, national, maritime, or other law or regulation
  • Use manual or automated software, devices, scripts, robots, or other means or processes to access, scrape, track, or spider any web page or other services contained in the Services
  • Use the Services for any commercial purpose or other purposes not expressly permitted by these Terms
  • Falsely imply that Navega endorses you, is a partner, or otherwise misrepresents your affiliation with Navega
  • Infringe the rights of any person or entity
  • Interfere with or damage our Services
  • Use the Services to find an Owner or Tenant and then complete a transaction for independent booking outside of the Services to evade the obligation to pay Service Fees
  • Post any illegal, infringing, defamatory, obscene, or harmful Content

Navega shall have the right to investigate and prosecute violations of any of the above to the fullest extent of the law. Navega may involve and cooperate with law enforcement authorities in the prosecution of users who violate these Terms.

Disclaimer of Warranties and Assumption of Risk

IF YOU CHOOSE TO USE THE SERVICES, YOU DO SO AT YOUR OWN RISK.

YOU ACKNOWLEDGE AND AGREE THAT Navega HAS NO OBLIGATION TO CONDUCT BACKGROUND CHECKS ON ANY MEMBER, INCLUDING, BUT NOT LIMITED TO, TENANTS AND LANDLORDS, BUT MAY CONDUCT SUCH BACKGROUND CHECKS AT ITS SOLE DISCRETION.

THE SERVICES AND COLLECTIVE CONTENT ARE PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. Without limiting the foregoing, Navega expressly disclaims any warranty of merchantability, fitness for a particular purpose or non-infringement, and any warranty that arises from the course of dealing or usage of trade.

Assumption of Risk

You acknowledge that nautical activities involve inherent risks, including but not limited to:

  • Sudden changes in weather conditions
  • Unpredictable sea conditions
  • Mechanical failures of the vessel
  • Collisions or groundings
  • Personal injury or death
  • Damage or loss of personal property

BY USING THE SERVICES, YOU VOLUNTARILY ASSUME ALL RISKS associated with nautical activities, whether known or unknown, foreseen or unforeseen.

Limitation of Liability

YOU ACKNOWLEDGE AND AGREE THAT, TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL RISK ARISING FROM YOUR ACCESS AND USE OF THE SERVICES AND COLLECTIVE CONTENT, YOUR LISTING OR RESERVATION OF VESSELS, AND ANY CONTACT YOU HAVE WITH OTHER USERS REMAINS WITH YOU.

NEITHER NAVEGA NOR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE SERVICES WILL BE LIABLE FOR ANY INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, OR SYSTEM FAILURE, OR THE COST OF SUBSTITUTE PRODUCTS OR SERVICES, OR FOR ANY DAMAGES FOR PERSONAL INJURY OR PROPERTY DAMAGE OR EMOTIONAL DISTRESS.

Maximum Liability Limit

Except for our obligations to pay amounts to Owners as applicable under these Terms, in no event shall Navega's total liability arising from or in connection with these Terms and your use of the Services exceed:

  • The amounts you have paid for Reservations through the Site, Application, and Services as a Guest in the twelve (12) month period prior to the event giving rise to the liability, OR
  • If you are an Owner, the amounts paid by Navega to you in the twelve (12) month period prior to the event giving rise to the liability, OR
  • ONE HUNDRED DOLLARS ($100 USD), if no such payments have been made, as applicable

Indemnification

You agree to release, defend, indemnify, and hold harmless Navega and its affiliates and subsidiaries, and its officers, directors, employees, and agents, from and against any claim, liability, damage, loss, and expense, including, without limitation, reasonable legal and accounting fees, arising from or in any way connected with:

  • Your access to or use of the Services or Collective Content or your violation of these Terms
  • Your Member Content
  • Your interaction with any Member
  • Your booking or use of a Vessel
  • Your creation of a Listing
  • The use, condition, or rental of a Vessel by you
  • Any injury, loss, or damage (compensatory, direct, incidental, consequential, or otherwise) of any kind arising in connection with or as a result of a rental, booking, or use of a Vessel

IN THE EVENT OF A DISPUTE BETWEEN A RENTER AND A OWNER, the Owner and the Renter, jointly and severally, agree to indemnify, release, defend, and hold harmless Navega and its directors, officers, agents, and employees from any claim, cause of action, lawsuit, recovery, loss, damage (actual and consequential), fine, penalty, and other costs or expenses arising from or in any way connected with such dispute.

Waiver of Class Action and Jury Trial

⚠️ IMPORTANT WAIVER - READ CAREFULLY

YOU ACKNOWLEDGE AND AGREE THAT YOU AND Navega WAIVE EACH OF YOUR RIGHTS TO A JURY TRIAL OR TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY ALLEGED CLASS ACTION OR REPRESENTATIVE PROCEEDING.

Furthermore, unless you and Navega agree otherwise in writing, the arbitrator may not consolidate the claims of more than one person, and may not otherwise preside over any form of class or representative proceeding.

Importance of This Waiver

If it is determined that this specific paragraph is unenforceable, then the entirety of this section on "Dispute Resolution" shall be deemed null and void. Except as set forth in the preceding sentence, this section on "Dispute Resolution" shall survive any termination of these Terms.

You agree that any dispute arising from or related to the Services must be initiated within NINETY (90) DAYS after the dispute arises. Otherwise, the dispute is permanently barred.

Mandatory Binding Arbitration

You and Navega agree that any dispute, claim, or controversy arising from or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or the use of the Services (collectively, "Disputes") will be resolved by binding arbitration, except that each party retains the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade

Governing Law and Jurisdiction

By using the Services, you agree that:

Governing Law

  • Users residing in Spain or the EU: These Terms shall be governed by the laws of the Kingdom of Spain, subject to the mandatory provisions of the consumer protection legislation of your country of residence
  • Users residing in the U.S.: These Terms shall be governed by the laws of the State of Florida, U.S., without regard to its conflict of laws principles
  • Other users: These Terms shall be governed by the laws of the Kingdom of Spain

Jurisdiction for Injunctive Relief

You and we agree to submit to the personal jurisdiction of a state court located in Madrid, Spain, or a court located in Miami, Florida, U.S., for any action in which the parties seek injunctive relief or other equitable remedy to prevent actual or threatened infringement, misappropriation, or violation of copyright, trademarks, trade secrets, patents, or other intellectual property rights.

EU Residents

Modifications to the Terms

Navega reserves the right, at its discretion, to change, modify, add, or remove any of the Terms, in whole or in part, at any time.

Notification of Changes

Any notice or other communications permitted or required hereunder, including those related to modifications to these Terms, shall be in writing and shall be given by Navega:

  • By email (to the address you provide), or
  • By posting on the Services

For notices made by email, the date of receipt shall be deemed to be the date on which such notice is transmitted.

IMPORTANT: Please review the Services and the Terms periodically for changes. Your use of the Services after such modified Terms are posted will signify your acceptance of such Terms.

Rejection of Changes

Notwithstanding the above, if Navega changes the Dispute Resolution section after the date you first accepted these Terms, you may reject such change by sending us a written notice (via email to legal@navegaapp.com) within 30 days of the date such change takes effect.

General Provisions

Entire Agreement

These Terms constitute the complete and exclusive understanding and agreement between Navega and you regarding the Services, Collective Content, and any reservation or Vessel Listing made through the Services, and these Terms replace and supersede any and all prior oral or written understandings or agreements between Navega and you regarding the above.

Severability

If any provision of the Terms is found to be invalid, illegal, or unenforceable by any court of competent jurisdiction, the validity, legality, and enforceability of the remaining provisions will not be affected or impaired in any way, and the remaining valid, legal, and enforceable provisions will be interpreted, to the extent possible, to achieve the purposes originally expressed in the invalid, illegal, or unenforceable provision.

Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without the prior written consent of Navega. Any attempt by you to assign or transfer these Terms without such consent will be null. Navega may assign or transfer these Terms, at its sole discretion, without restriction.

Waiver

Navega's failure to enforce any right or provision of these Terms will not constitute a waiver of future enforcement of that right or provision. A waiver of any right or provision will be effective only if in writing and signed by a duly authorized representative of Navega.

Force Majeure

Navega will not be liable for any delay or failure in connection with any reservation, Service, or in the performance of any obligation under this Agreement, if such delay or failure is due to or caused in any way by acts of God, rebellion, riots, kidnapping, insurrection, civil commotion, strikes or labor disputes, fires, floods, laws, regulations, acts, demands, or orders of any government or agency, vessel embargo under legal process, adverse weather conditions, inability to obtain fuel, damage or loss of the vessel, lack of essential parts or supplies, mechanical problems, illness or incapacitation of crew members, denial of operating or docking approvals, permits or authorizations by government authority, pandemics, or any other cause that is beyond Navega's control.

Survival

The following provisions will survive the termination of these Terms: Definitions, Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, Dispute Resolution, and these General Provisions.

No Relationship

You agree that no joint venture, partnership, agency, or employment relationship exists between you and Navega as a result of this Agreement or your use of the Services.

Termination

We may, at our discretion and without liability to you, with or without cause, with or without prior notice, and at any time: (a) terminate these Terms or your access to our Services, and (b) deactivate or cancel your Navega Account. Upon termination, we will promptly pay you any amount we reasonably determine that we owe you at our discretion, which we are legally obligated to pay you.

Claim Notice

You agree that all disputes arising from the Terms or the use of Navega's Services will be communicated to Navega in writing within thirty (30) days from the date of the incident causally related to the dispute.

You waive your right to any claim against Navega that is not communicated as provided in this Section.
